Does a foreign-owned U.S. LLC have to file Form 5472?
Yes. A U.S. LLC that is at least 25% owned by a non-U.S. person and is treated as a disregarded entity must file Form 5472 attached to a pro forma Form 1120 every year it has a reportable transaction. Forming the LLC, contributing capital, and paying for services all count as reportable transactions — so a brand-new or dormant single-member LLC almost always has to file.
The zero-income trap: Many owners assume "no revenue means no filing." That is incorrect for foreign-owned LLCs. The obligation is triggered by reportable transactions, not profit. A dormant LLC that only paid a registration fee still owes a Form 5472.
What Form 5472 is — and what it is not
Form 5472 is an information return
It reports transactions between your U.S. LLC and its foreign owner or related parties. For a foreign-owned disregarded LLC it is filed together with a pro forma Form 1120 by mail or fax to the IRS — it is not an e-filed income tax return.
It is not an income tax return
Form 5472 is not Form 1040-NR (a non-resident's personal income tax return) and it does not by itself calculate tax owed. If your LLC has income effectively connected to a U.S. trade or business, a separate income return may be required — we will tell you plainly if that applies to you.
